Perry Ellis International, Inc.'s "Roll Up Your Sleeves" National Program
Official Rules for Participation

Perry Ellis International, Inc.'s "Roll Up Your Sleeves" national program (the "Program") is open to all legal residents of the 50 United States of America, who are 18 years of age or older at time of entry. Employees of Perry Ellis International, Inc. and Smart Apparel (US), Inc. (collectively "Sponsor") and its subsidiaries, divisions, affiliates and advertising or promotional agencies, and the immediate family and household members of such individuals, are not eligible to participate or receive a prize. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three months a year, whether related or not.

The Program is governed by these Official Rules and is subject to all applicable U.S. federal, state and local laws. Void where prohibited by law.

To participate in the Program, you must have completed twenty (20) hours of public service for the charitable organization of your choice at any time during the period January 20, 2009 through and including May 20, 2009 (the "Entry Period"). By postmark dated no later than May 27, 2009, submit proof of your completion of twenty (20) hours of public service on the letterhead of that charitable organization to: Perry Ellis/Roll Up Your Sleeves, Attention: John Norris, Smart Apparel (US), Inc., 1400 Broadway, 10th Floor, New York, New York 10018, together with a plain piece of paper no larger than 8 ½" x 11" on which you have hand-printed your name, date of birth, street address, city, state, zip code, day and night phone numbers (with area codes), email address, your shirt size selected from the size grid and sleeve length below, and an alternate shirt size. Shipping to be made in the United States only.

All submissions become the property of Sponsor upon receipt and will not be acknowledged or returned. Each Participant that completes twenty (20) hours of public service and submits the required proof of service and plain piece of paper with the required information, shall receive one (1) white Perry Ellis Skip Dent men's dress shirt, while supplies last (requested shirt size is subject to availability and cannot be guaranteed) (the "Giveaway")(approximate retail value ("ARV") $45.00). One Giveaway per Participant. ARV is in U.S. dollars. Qualifying participants will receive the Giveaway by mail approximately thirty (30) days after Sponsor's receipt of Participant's submission and Sponsor's confirmation of proof of Participant's public service.

Except where prohibited or restricted by law, participation in the Program and acceptance of the Giveaway constitutes the Participant's agreement and consent for Sponsor to use and/or publish Participant's full name, city and state of residence, photographs or other likenesses, entry, pictures, portraits, voice, testimonials, biographical information (in whole or in part), and/or statements made by Participant regarding the Program or Sponsor, worldwide and in perpetuity for any and all purposes, including, but not limited to, advertising, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval. By participating in the Program, Participants will be sharing their personal information with Sponsor. Personal information collected by Sponsor will be used for administration of the Program and awarding the Giveaway. In addition, by participating, Participants agree to Sponsor's use of Participant's personal information as described in its privacy policy at www.perryellis.com. Please refer to Sponsor's privacy policy for important information regarding the collection, use and disclosure of personal information by Sponsor. Sponsor is not responsible for disclosures made by any third party. Participants may subsequently opt-out of receiving further emails by following opt-out instructions contained in Sponsor's privacy policy.

By participating in the Program, Participants agree to release and hold harmless Sponsor and each of their subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors (the "Released Parties"), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury (including emotional distress), and/or death which may occur in connection with preparation for, or participation in, the Program, or participation in any Program-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Participant or Sponsor in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules (whether of the State of Florida, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Florida. In addition, any dispute relating to the Program (including these Official Rules) shall be brought in the appropriate state or federal court having jurisdiction over the subject matter located in Miami-Dade County, State of Florida. Participants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non conveniens or lack of personal jurisdiction they may have.
